1. Who we are

KADI Xchange ("KADI", "we", "us") operates an online platform that connects verified agro-food buyers, sellers, brokers, cooperatives, exporters, and importers across Africa, Europe, Asia, and the Americas. We are a neutral facilitator: we do not own, sell, ship, store, inspect, or take title to any commodity listed on the platform.

2. Eligibility & user accounts

• You must be at least 18 years old and legally able to enter into binding contracts in your country.
• You must register as a business entity or as an individual trader acting in a commercial capacity.
• You must provide accurate company information, a valid business email, and — when prompted — verification documents (government-issued ID, business registration, export/import licenses where applicable).
• You are responsible for all activity on your account and for keeping your credentials confidential.
• One account per legal entity. We may suspend duplicate or fraudulent accounts without notice.

3. Business profile & verification

Before posting a supply listing, posting a buy request, or unlocking buyer/seller contact details, you must complete your business profile and upload the required verification documents. Listings or requests submitted with incomplete profiles may be rejected, hidden, or removed.

4. Listings, requests & marketplace transactions

• Sellers may post supply listings; buyers may post requests. All postings must be truthful, lawful, and reflect commodities you are genuinely able to supply or purchase.
• Prices, quantities, origins, certifications, and incoterms must be accurate at the time of posting.
• You grant KADI a non-exclusive, royalty-free license to display your listing content (including photos and specifications) on the platform and in promotional materials.
• KADI does not guarantee that any listing will result in a deal, that counterparties will perform, or that quantities, qualities, or prices stated will be honored. Buyers and sellers contract directly with each other.

5. Messaging

The in-platform messaging service is provided to facilitate trade discussions. You agree not to use messaging to send spam, harass other users, share unlawful content, attempt off-platform circumvention of fees, or distribute malware. We may review, store, and moderate messages to enforce these Terms and applicable law.

6. Contact unlock payments

Some buyer/seller contact details are gated behind a one-time unlock fee. By paying the unlock fee, you receive access to the counterparty's direct contact information for trade purposes only. Unlock fees are non-refundable once contact details have been revealed, except where required by law or where the counterparty's account is found to be fraudulent (see Refund Policy).

7. Subscriptions

• Premium and Pro subscriptions are billed in advance on a monthly basis through our payment processor.
• Subscriptions renew automatically until cancelled. You can cancel at any time; your plan remains active until the end of the paid period.
• We may change subscription pricing or features with at least 30 days' notice.

8. Payments & settlement

Payments on the platform are processed by Paystack and other licensed payment providers. Customers may be charged in USD or local currency; settlement to merchants is performed in the merchant's settlement currency at the prevailing FX rate of the payment provider. KADI charges a transaction fee of 1.5% on successfully settled trades, deducted at settlement.

9. AI-powered market insights

KADI provides AI-generated market intelligence, price benchmarks, regional comparisons, and trade recommendations. These insights are produced from public, partner, and platform data using automated models and are provided for informational purposes only. They do not constitute investment, legal, tax, or trading advice. You are solely responsible for any decisions you make based on this information.

10. Prohibited activities

• Posting illegal, sanctioned, counterfeit, stolen, or misrepresented goods.
• Trading endangered species, narcotics, or commodities banned under applicable law or international sanctions.
• Money laundering, fraud, identity theft, phishing, or any deceptive practice.
• Circumventing platform fees by moving negotiated deals off-platform after using paid contact unlocks.
• Scraping, reverse-engineering, overloading, or interfering with the platform's infrastructure.
• Posting hateful, harassing, defamatory, or sexually explicit content.
• Using the platform to violate export controls, trade embargoes, or anti-bribery laws.

11. Account suspension & termination

We may suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, our Refund Policy, or applicable law, or if your account poses a security, fraud, or legal risk to the platform or other users. Where lawful, unused subscription value may be refunded on a pro-rata basis (see Refund Policy).

12. Disclaimers

The platform is provided "as is" and "as available". KADI disclaims all warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted access, error-free operation, or that listings, prices, or counterparties are accurate or trustworthy.

13. Limitation of liability

To the maximum extent permitted by law, KADI, its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost business opportunities, or losses arising from a counterparty's non-performance — even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the platform shall not exceed the greater of (a) the fees you paid to KADI in the three months preceding the claim, or (b) USD 100.

14. Indemnification

You agree to indemnify and hold KADI harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the platform, your listings, your transactions with other users, or your breach of these Terms.

15. Governing law & disputes

These Terms are governed by the laws applicable at KADI's principal place of business, without regard to conflict-of-law rules. Disputes shall first be addressed through good-faith negotiation; failing that, they shall be submitted to binding arbitration or to the competent courts of KADI's jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
